Frank Marasco Jr. founded West High Yield Resources in 2003 and has served as a Director since the Company’s inception. As founder, he has guided WHY Resources’ strategic direction through the discovery and advancement of the Record Ridge magnesium, silica, and nickel project in southern British Columbia, now recognized as one of the world’s largest and highest-grade magnesium deposits.
His stewardship has carried the project from initial exploration through NI 43-101 resource definition, the BC Mines Act permit awarded in October 2025, and the definitive two-year offtake agreement signed with Galaxy Trade & Technology in March 2026, with an option to extend for an additional nine years. Throughout nearly two decades of development, Mr. Marasco has maintained the Company without rollbacks or significant dilution, a discipline reflecting his long-term conviction in Record Ridge and in WHY Resources’ shareholders.
Mr. Marasco brings more than 45 years of entrepreneurial experience to the board, having founded and sold 47 successful businesses across natural resources, real estate, hospitality, and retail. His resource-sector track record includes the acquisition of the Rossland gold properties, a world-class 7.5-square-mile single-rock discovery that anchors WHY Resources’ broader British Columbia portfolio, as well as the assembly of 81 sections of oil and gas land positions in Saskatchewan’s Bakken play.
As a Director, Mr. Marasco contributes the founder’s perspective to board deliberations on strategic direction, capital structure, and the Company’s commitments to Indigenous partnership, environmental stewardship, and shared community benefit.
Mr. Barry Baim brings more than 35 years of executive leadership experience and a demonstrated ability to build and scale value across both public and private companies. His background spans senior roles in Tier 1 consumer packaged goods and the natural resources sector, including mining development, oil sands, 3D seismic, logistics, and energy services—providing him with a unique, cross-sector perspective on capital deployment and project execution.
As Director and Corporate Secretary of WHY Resources, Mr. Baim is a key contributor to the Company’s strategic direction as the Record Ridge project advances toward construction and first production. He works closely with the board and executive team to shape capital markets strategy, optimize corporate structure, and position the Company to capitalize on growing demand for a safe, secure supply chain of critical minerals, particularly magnesium, silica, nickel, and iron.
Mr. Baim’s board experience reinforces his governance and value-creation focus. He has previously held board positions with SGV Canada, Millennium Seismic, Paradigm Chemical Technologies, and Siksika Resource Developments Ltd. His track record reflects deep engagement in resource development and successful collaboration with Indigenous partners—an increasingly important component of advancing projects in Canada.
Mr. Baim brings a disciplined, execution-driven approach with a clear focus on unlocking shareholder value and advancing WHY Resources as a strategically relevant North American supplier in the critical minerals sector.
Dr. Kamaleddine brings more than 25 years of academic and industry experience in mining, metallurgy, and mineral engineering to the WHY Resources board. He is the founder and principal of AIS Inc., an integrated mining consulting firm that provides technical services and engineering studies for projects advancing from exploration through production.
As Strategic Advisor and Director, Dr. Kamaleddine supports the Company’s technical direction as the Record Ridge project transitions from permitting to construction and initial production. He works closely with management and the broader technical team on development strategy, metallurgical optimization, and engineering execution for both the mine and downstream plant projects.
His career includes extensive industrial research that has led to several inventions and industry achievement awards, reflecting a strong focus on solving complex processing and industrial challenges within the mining sector.
Ms. Nelson brings senior public-sector and energy-industry experience to the WHY Resources board. She served 15 years as an elected Member of the Legislative Assembly of Alberta, including 12 years on the Treasury Board and the Agenda and Priorities Committee. She held four cabinet portfolios: Minister of Energy, Minister of Finance, Minister of Economic Development and Tourism, and Minister of Government Services.
Her industry background includes roles as Manager of Financial Control at Suncor Inc. and Controller at Sabre Petroleum and Petroterra Resources. She currently serves as a Director of AltaLink and Optiom Inc., and as Vice Chair and Director of the In Situ Oil Sands Alliance.

Frank Marasco Jr. is the founder, President, and Chief Executive Officer of West High Yield Resources. Since incorporating the Company in 2003 and leading it to public listing on the TSX Venture Exchange in 2006, he has guided WHY Resources from early-stage exploration to the threshold of construction and first production at the Record Ridge magnesium, silica, and nickel project in southern British Columbia.
As CEO, Mr. Marasco leads the Company’s day-to-day operations, with direct responsibility for permitting, offtake, capital strategy, and Indigenous and community engagement. He works closely with the Company’s technical, financial, and advisory teams to advance Record Ridge through the transition from a defined resource to a producing operation. Under his leadership, the project has progressed through NI 43-101 resource definition, received its BC Mines Act permit in October 2025, and secured a definitive two-year offtake agreement with Galaxy Trade & Technology in March 2026, with an option for an additional nine years.
Mr. Marasco’s strategic vision recognized the significance of the Record Ridge magnesium discovery early on, shifting the Company’s focus from gold exploration to advancing what is now understood to be one of the world’s largest and highest-grade magnesium deposits. The project features approximately 10.6 million contained tonnes of magnesium, grades reaching up to 25% MgO in places, and infrastructure advantages including proximity to roads, rail, power, and the U.S. border that support low-cost, low-carbon production.
Mr. Marasco brings more than 45 years of entrepreneurial experience to the role, having founded and sold 47 businesses across hospitality, real estate, retail, and natural resources before focusing on the mining sector. Shelina Hirji brings more than 38 years of senior financial leadership experience across infrastructure construction, oil and gas exploration, and mining. As a Chartered Professional Accountant, she has served in key executive roles guiding financial strategy, governance, and reporting for both public and private companies since 1990.
She is a member of the Chartered Professional Accountants of Alberta and serves on the TSX Venture Exchange Advisory Committee, bringing valuable capital markets insight and public company experience to West High Yield Resources.
Ron Rieder brings more than 25 years of senior leadership experience in the mining industry to the WHY Resources board, having served as a director and officer of public companies in roles including Chief Executive Officer, President, and Vice President, Corporate Finance.
His experience spans corporate and business development, audit, financial management, and regulatory and compliance oversight. Throughout his career, Mr. Rieder has built and led management teams focused on shareholder value creation, applying disciplined problem-solving and established best practices to deliver returns in competitive market conditions.
Mr. Rieder is recognized for his collaborative approach and ability to partner effectively with industry professionals, boards, and management teams to advance corporate objectives and maintain open communication with stakeholders.
Rick has been involved with West High Yield’s Record Ridge and Midnight projects since 2014, acting as a Consulting Geologist with respect to both projects. Rick is a highly qualified, well experienced, senior Professional Geoscientist (PGeo) registered with Engineers and Geoscientists of British Columbia (EGBC). He established his successful consulting practice in 1996 and has extensive and diverse national and international exploration experience, with a proven track record of organizational and project management skills.
His experience extends across a multitude of mineral exploration projects, deposit types and commodities, specializing in comprehensive technical reports, property evaluations, program design and implementation and project management. His experience includes Mineral Exploration, Project Management and Due Diligence property assessments for a wide variety of deposit types, metals and/or commodities. He specializes in design and management of exploration programs, including, but not limited to: compilation of historical data (including data entry and digitization), design and implementation of soil sampling surveys, geological / structural/ alteration mapping, ground and/or airborne geophysics, geochemical modeling, identification and definition of geochemical and/or geophysical targets and/or drill programs. Previous clients range from junior to major, private and public resource companies working in Canada, the US and South America.
Rick has managed numerous, successful exploration programs in a wide variety of geological settings. He has extensive experience designing, implementing and managing programs for precious metals (silver and gold), base metals (copper, lead, molybdenum and zinc) and diamonds, as well as industrial minerals (graphite, mica, dimension stone), from field camps in prairie, mountain and arctic settings. He is a “Qualified Person” and author of numerous technical reports, including comprehensive NI 43-101 compliant reports.
Cory Peck joined WHY Resources in 2007 and has been instrumental in the identification and delineation of the company’s mineral resource assets. He holds a Bachelor of Science in Geology from the University of Calgary.
Mr. Peck has extensive experience in mineral exploration, including geological mapping, drill program planning and execution, core logging, sampling, and QA/QC procedures. He has contributed to multiple phases of exploration programs, supporting the advancement of projects from early-stage exploration through to resource definition.
Mr. Peck regularly engages with investors and stakeholders, providing technical insight and clear communication on exploration results and project development.
